1. Platform's Role and Property Ownership

This website is owned and operated by Borrowsy LLC, doing business as Rent Vibe, a Kentucky limited liability company. Rent Vibe operates a digital peer-to-peer marketplace that connects individuals who wish to rent out their personal property ("Listers" or "Owners") with individuals seeking to rent items ("Renters"). Rent Vibe does not own, possess, lease, sublease, or otherwise control any item, vehicle, equipment, real property, or other asset listed on the Platform. All items listed on the Platform remain the sole and exclusive property of their respective owners at all times.

Rent Vibe's role is strictly limited to: (a) providing a digital interface for users to discover, list, and communicate about rental items; (b) processing payments through third-party payment processors; and (c) offering optional ancillary tools such as checklists, incident reporting, and dispute facilitation. Rent Vibe is not a bailee, agent, broker, insurer, guarantor, or property manager for any listing or transaction. Rent Vibe does not inspect, verify, certify, or warrant the condition, safety, legality, or market value of any listed item.

By using the Platform, you acknowledge that any rental transaction is a direct agreement between the Lister and the Renter. Rent Vibe is not a party to any rental agreement and bears no obligation or liability arising from the physical rental, use, return, damage, or loss of any listed item.

2. No Agency, Employment, or Partnership

Nothing contained on the Platform or in these policies creates any agency, partnership, joint venture, employment, or fiduciary relationship between Rent Vibe and any user. Listers are independent owners who choose to offer their property for rent and are solely responsible for their own business operations, tax obligations, and compliance with applicable laws. Renters are independent users who contract directly with Listers.

3. Intellectual Property Rights

The Platform, including its name, logo, design, software, code, text, graphics, and user interface, is owned by Rent Vibe and protected by intellectual property laws. Users may not copy, modify, distribute, or create derivative works from the Platform's design or software without prior written consent.

Listers retain all ownership rights to the content they upload, including listing descriptions, photographs, and images. By uploading content to the Platform, Listers grant Rent Vibe a non-exclusive, royalty-free, worldwide license to display, reproduce, and distribute that content solely for the purpose of operating and promoting the Platform and the user's listings.

4. User Content and Responsibility

Users are solely responsible for the accuracy, legality, and completeness of all content they post on the Platform, including listing descriptions, images, pricing, location data, and communications. Users represent and warrant that they have all necessary rights to upload and share their content and that it does not infringe the intellectual property, privacy, or other rights of any third party.

Rent Vibe reserves the right to remove any content that it believes, in its sole discretion, violates these policies, is illegal, or is harmful to the community. Rent Vibe has no obligation to monitor user content but may do so to maintain platform integrity.

5. Indemnification

Users agree to indemnify, defend, and hold harmless Rent Vibe, its officers, directors, employees, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) the user's use of the Platform; (b) any rental transaction entered into through the Platform; (c) any content the user posts; (d) any breach of these Terms or this Legal Policy; or (e) any violation of applicable law by the user.

6. Limitation of Liability

To the maximum extent permitted by law, Rent Vibe shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of use, loss of data, or property damage, arising out of or related to the user's use of or inability to use the Platform. Rent Vibe's total aggregate liability arising from or related to the Platform shall not exceed the total service fees paid by the user to Rent Vibe in the twelve (12) months preceding the claim, or fifty dollars ($50), whichever is greater.

Rent Vibe does not warrant that the Platform will be uninterrupted, error-free, secure, or that listings are accurate or complete. The Platform is provided on an "as is" and "as available" basis.

7. Governing Law and Jurisdiction

These policies and any dispute arising out of or related to the Platform shall be governed by and construed in accordance with the laws of the Commonwealth of Kentucky, without regard to its conflict of law provisions. Borrowsy LLC is a Kentucky limited liability company. Any legal action or proceeding arising under these policies will be brought exclusively in the federal or state courts located in Kentucky, and the parties hereby irrevocably consent to the personal jurisdiction and venue therein.

8. Arbitration and Legal Dispute Resolution

Except for disputes that may be resolved in small claims court or matters of intellectual property, any dispute, claim, or controversy arising out of or relating to the Platform, these policies, or any rental transaction shall be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The arbitration shall be conducted before a single arbitrator and shall be held in Kentucky. Judgment on the award may be entered in any court having jurisdiction.

The Platform's internal dispute resolution feature (described in the Terms of Service, Section 6.4) is a community mediation tool and does not constitute a legal proceeding. Any decision rendered through that feature is not a legal judgment and does not preclude either party from pursuing binding arbitration as described above.

Class Action Waiver. Any arbitration or legal proceeding shall be brought solely on an individual basis, and not as a class action or representative proceeding. The parties expressly waive any right to participate in a class action.

9. DMCA / Copyright Policy

Rent Vibe respects the intellectual property rights of others. If you believe that any content on the Platform infringes your copyright, you may submit a Digital Millennium Copyright Act (DMCA) takedown notice by contacting Rent Vibe support through the Platform. A valid DMCA notice must include: (a) identification of the copyrighted work; (b) identification of the infringing material; (c) your contact information; (d) a statement of good-faith belief that the use is unauthorized; and (e) a statement, under penalty of perjury, that the information is accurate and that you are the copyright owner or authorized to act on their behalf.

Rent Vibe will process valid DMCA notices in accordance with applicable law and may remove or disable access to infringing material. Repeat infringers may have their accounts terminated.

10. Force Majeure

Rent Vibe shall not be liable for any failure or delay in performance caused by events beyond its reasonable control, including but not limited to natural disasters, acts of God, war, terrorism, civil unrest, pandemic, government action, power outages, internet or telecommunications failures, or other force majeure events.

11. Compliance with Laws

Users are solely responsible for complying with all applicable federal, state, and local laws and regulations related to their use of the Platform, including but not limited to rental licensing requirements, insurance obligations, tax reporting, consumer protection laws, and product safety standards. Rent Vibe does not provide legal or tax advice, and users are encouraged to consult appropriate professionals.

12. Third-Party Services

The Platform integrates with third-party services including payment processing (Stripe), identity verification (DIDIT KYC), employment and income verification (Truvi), and mapping and geocoding (OpenStreetMap/Nominatim), among others. Rent Vibe is not responsible for the availability, accuracy, or reliability of these third-party services. Users' use of third-party services is subject to the respective providers' terms and privacy policies. Rent Vibe disclaims all liability for acts or omissions of third-party service providers.

13. Assignment and Transfer

Users may not assign, transfer, or sublicense their rights or obligations under these policies without Rent Vibe's prior written consent. Borrowsy LLC may assign its rights and obligations to a successor in connection with a merger, acquisition, or sale of all or substantially all of its assets. Any attempted assignment in violation of this section is void.

14. No Waiver

Rent Vibe's failure to enforce any right or provision in these policies shall not be considered a waiver of that right or provision. No waiver is effective unless in writing and signed by an authorized representative of Borrowsy LLC.

15. Severability

If any provision of this Legal Policy is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

16. Entire Agreement

This Legal Policy, together with the Terms of Service and Privacy Policy, constitutes the entire agreement between Rent Vibe and its users regarding the subject matter herein. If there is a conflict between this Legal Policy and the Terms of Service, the Terms of Service shall prevail with respect to rental-specific matters, and this Legal Policy shall prevail with respect to legal, liability, and intellectual property matters.

17. Changes to This Policy

Rent Vibe reserves the right to update this Legal Policy at any time. Users will be notified of material changes through the Platform. Continued use of the Platform after changes constitutes acceptance of the revised policy.
